I Notices given by personal deliveay shall be effecrive immediately. Notices given by mail shall be deemed to have been delivered forty-eight (48) hours after having been deposited in the Unifed States mail. (16) Ownership of Materials. Any and all docurnents, including draft documents ` where completed documents are unavailable, or materials prepared or caused to be prepared by Consultant pursuant to this Agreement shall be the property of the City at the moment of their completed proparation. All materials and records of a finished nature, such as final plans, specifications, data, reports, and maps, prepared. or obtained in the performance of this � Agreement, shall be delivered to and become the propei-ty of the City. All materials of a preliminary nature, such as survay notes, sketches, preliminary plans, computations and other data, prepared or obtained in the performance of this Agreement, shall be made available, upon request, to City at no additional charge and without restrictiun or limitation on their use consistent �vith the intent of the original design. Consultant shall be allowed to maintain one file copy of all materials and records prepared or obtained in performance of this Agreenient. Consultant shall also make available a back-up copy of the most cwrent version of all so$ware on-site with City so that City is abte to r�install the software onto the City's aystem. Any reuse by City of such meterials for purposes not consistent with the original design shall be at the City's sole risk and without liability to Consultant. (17) Amendments. This Agreement may be modified or amended only by a written document executed by both Consultant and City's City Manager and approved as to form by the � City Attorney. Such document shall expressly state that it is intended by the pailies to amend the terms and conditions of this Agre�ent. (18) Abandonment by_Consultant. In the event #he Consultant ceases performing services under ihis Agi.�eement or otherwise abandons the project prior to completing all of the services described in this Agreement, Consultant shall, without delay, deliver to City all materials and records prepared or obtained in the performance of this Agreement, and shell be ATPYlAGRl2d] 0.1 I9 10/I9/10 7
