This Agreement shall be binding upon and shall <br />inure to the benefit of the successors of any Member Agency. No Member Agency may assign <br />any right or obligation hereunder without the written consent of all other Member Agencies. <br />Participation in HEAT -SMC is not intended to preclude Member Agencies from entering into <br />similar agreements with other jurisdictions. <br />16. Severabilitv. If any provision of this Agreement or its application to any person or <br />circumstances is held invalid or illegal by a final judgment of a court of law in the State of <br />California, the remainder of this Agreement and the application of the provision to other persons <br />or circumstances shall not be affected. <br />17. Headings. All section headings contained in this Agreement are for convenience and <br />reference only.
