� i 8.3 <br />REVOCABLE LICENSE AGREEMENT <br />(NSC COMMUNICATIONS) <br />This License Agreement ( "License "), effective as of June _, 2003, is made by <br />and between the City of Redwood City ( "City"), a municipal corporation and charter city <br />( "City"), and NSC Communications, a Delaware corporation ( "Licensee" ) (collectively, <br />the "Parties "). <br />RECITALS <br />A. City is the owner of certain real properties described in Exhibit A which is <br />incorporated herein by reference (collectively, the "Property "). <br />B. Licensee installs and maintains public payphones and related equipment <br />(collectively the "Equipment ") in various cities and counties. <br />D. Licensee is desirous of installing the Equipment on the Property. <br />E. The Property is of adequate size to allow Licensee to place the Equipment <br />upon it. <br />F. City is willing to allow Licensee to place the Equipment on the Property. <br />NOW, THEREFORE, IT IS AGREED AS FOLLOWS: <br />1. Scope of License. City hereby grants to Licensee a non - exclusive license <br />to enter upon and place the Equipment on the Property. Licensee may provide <br />telecommunications services using the Equipment including but not limited to local dial <br />tone, business access lines for voice, fax and data, presubscribed, toll free and <br />international long distance service, presubscribed operator services, and calling cards. <br />Licensee may, without limitation, choose local and long distance operator service <br />providers and aggregators (including entities affiliated with Licensee). Further, <br />Licensee may arrange for and cause the removal of any existing Licensee phone - <br />related services and /or equipment from the Property, but not those of other licensees, <br />permitees or carriers. Licensee shall perform such activities and services at no capital <br />cost to City. Licensee may, at its sole discretion, remove any of its phone and related <br />equipment and terminate this License with respect thereto due to vandalism. This <br />License does not constitute a franchise, deed, easement, lease, conveyance, or <br />transfer of any property interest. <br />2. Term. This License expires one year from the date first written above and <br />shall be deemed automatically extended without amendment for a one -year period <br />upon such date and upon each anniversary of such date, unless otherwise revoked by <br />City or terminated by one of the Parties. <br />F:Atty /Agr.122 <br />060403 <br />
