• • <br /> 110 ARTICLE 3 TERM OF AGREEMENT <br /> 111 3.01 EFFECTIVE DATE <br /> 112 The Effective Date of this Agreement shall be January 1, 2010. <br /> 113 3.02 TERM <br /> 114 The Term of this Agreement shall begin on the Effective Date and shall end at midnight <br /> 115 on December 31, 2020, unless earlier terminated, or extended as provided in Section <br /> 116 3.03. Contractor's obligation to Collect Solid Waste, Targeted Recyclable Materials and <br /> 117 Organic Materials shall begin on January 1, 2011 at 12:01 a.m. and shall continue for <br /> 118 the remainder of the Term. <br /> 119 3.03 EXTENSION OF TERM <br /> 120 During calendar year 2017, the Parties shall meet and confer on the possible extension <br /> 121 of the Term. <br /> 122 3.04 CONDITIONS TO EFFECTIVENESS OF AGREEMENT. <br /> 123 A. Obligation of Agency to Perform. The obligation of Agency to perform under <br /> 124 this Agreement is subject to satisfaction, on or before the Effective Date, of each <br /> 125 of the conditions set out below, each of which may be waived in whole or in part <br /> 126 by Agency: <br /> 127 1. Accuracy of Representations. The representations and warranties made by <br /> 128 Contractor in Article 2 shall be true and correct on and as of the Effective <br /> 129 Date. <br /> 130 2. Absence of Litigation. There shall be no litigation pending on the Effective <br /> 131 Date in any court challenging the execution of this Agreement or seeking to <br /> 132 restrain or enjoin its performance. <br /> 133 3. Effectiveness of Agency's Approval. The approval of this Agreement by <br /> 134 Agency shall have become effective, pursuant to California law, on or before <br /> 135 the Effective Date. <br /> 136 4. Performance Bond. Contractor shall have provided a performance bond <br /> 137 meeting the requirements of Section 13.03. <br /> 138 B. Obligation of Contractor to Perform. The obligation of Contractor to perform <br /> 139 under this Agreement is subject to the satisfaction of the conditions set forth <br /> 9 subject <br /> below, each of which may be waived in whole or in part by Contractor. <br /> 141 1. Absence of Litigation.
