• • <br /> 4481 ARTICLE 16 MISCELLANEOUS PROVISIONS <br /> 4482 16.01 GOVERNING LAW <br /> 4483 This Agreement shall be governed by, and construed and enforced in accordance with, <br /> 4484 the laws of the State of California. <br /> 4485 16.02 JURISDICTION <br /> 4486 Any lawsuits between the Parties arising out of this Agreement shall be brought and <br /> 4487 concluded in the courts of the State of California, which shall have exclusive jurisdiction <br /> 4488 over such lawsuits. With respect to venue, the Parties agree that this Agreement is <br /> 4489 made in and will be performed in San Mateo County. <br /> 4490 16.03 BINDING ON SUCCESSORS <br /> 4491 The provisions of this Agreement shall inure to the benefit of and be binding on the <br /> 4492 successors and permitted assigns of the Parties. <br /> 4493 16.04 PARTIES IN INTEREST <br /> 4494 Nothing in this Agreement is intended to confer any rights on any Persons other than the <br /> 4495 Parties to it and their permitted successors and assigns. <br /> 4496 16.05 WAIVER <br /> 4497 The waiver by either Party of any breach or violation of any provisions of this Agreement <br /> 4498 shall not be deemed to be a waiver of any breach or violation of any other provision nor <br /> 4499 of any subsequent breach or violation of the same or any other provision. <br /> 4500 16.06 ATTACHMENTS <br /> 4501 Each of the attachments, identified as Attachments "A" through "Q," is attached hereto <br /> 4502 and incorporated herein and made a part hereof by this reference. <br /> 4503 16.07 ENTIRE AGREEMENT <br /> 4504 This Agreement, including the attachments, represents the full and entire agreement <br /> 4505 between the Parties with respect to the matters covered herein and supersedes all prior <br /> 4506 negotiations and agreements, either written or oral. <br /> 4507 16.08 SECTION HEADINGS <br /> 4508 The article headings and section headings in this Agreement are for convenience of <br /> 4509 reference only and are not intended to be used in the construction of this Agreement nor <br /> 4510 to alter or affect any of its provisions. <br /> 4511 16.09 INTERPRETATION <br /> 4512 This Agreement shall be interpreted and construed reasonably and neither for nor <br /> 4513 against either Party, regardless of the degree to which either Party participated in its <br /> 4514 drafting. <br /> 4515 16.10 AMENDMENT <br /> 4516 This Agreement may not be modified or amended in any respect except by a writing <br /> 4517 signed by the Parties. <br /> Franchise Agreement for Collection Services with Recology San Mateo County <br /> City of Redwood City <br /> ATTY /AG R/2010.014 <br /> 040510 Page 113 of 115 <br />
