9. Notices. Any and all notices permitted or required to be given hereunder <br /> shall be deemed duly given upon 1) actual delivery, if delivery is by hand; or 2) delivery <br /> into the United States mail if delivery is by postage paid registered or certified (return <br /> receipt requested) mail. Each such notice shall be sent to the parties at the address <br /> respectively indicated below or to any other address as the respective parties may <br /> designate from time to time. <br /> To Grantor: Louis Cobarruviaz <br /> Chief of Police <br /> 1301 Maple Street <br /> Redwood City, CA 94063 <br /> To Grantee: Tom Cronin, Executive Director <br /> Redwood City Police Activities League <br /> 3399 Bay Road <br /> Redwood City, CA 94063 <br /> Each party will notify the other immediately of any changes of address that would <br /> require any notice or delivery to be directed to another address. <br /> 10. Successors and Assigns. It is mutually understood and agreed that this <br /> Grant Agreement will be binding upon the Parties and their respective successors. This <br /> Grant Agreement may not be assigned by Grantee without the prior consent of Grantor. <br /> 11. Paragraph Headings. Paragraph headings as used herein are for <br /> convenience only and will not be deemed to be a part of such paragraphs and will not <br /> be construed to change the meaning thereof. <br /> 12. Jurisdiction and Venue. Any action at law or in equity brought by either of <br /> the Parties for the purpose of enforcing a right or rights provided for by this Agreement <br /> will be tried in a court of competent jurisdiction in the County of San Mateo, State of <br /> California, and the Parties waive all provisions of law providing for a change of venue in <br /> these proceedings to any other county. <br /> 13. Severability. Each paragraph and provision of this Grant Agreement is <br /> severable from each other provision, and if any provision or part thereof is declared <br /> invalid, the remaining provisions shall nevertheless remain in full force and effect. <br /> 14. Entire Grant Agreement. This Grant Agreement, together with any other <br /> written document referred to or contemplated by it; embody the entire Grant Agreement <br /> and understanding between the Parties relating to the subject matter of it.
