B. Effective November 15, 2010, and from that date forward, only the
<br /> Interim City Manager shall have or has had the legal authority to act as City Manager.
<br /> 3. Compensation and Benefits.
<br /> A. Beginning November 15, 2010, INGRAM will remain on paid
<br /> administrative leave at his current salary and benefit level through June 30, 2011
<br /> ( "Separation Date ").
<br /> B. CITY shall pay INGRAM salary and benefits as provided in the
<br /> Employment Agreement, including PERS contributions, medical benefits, and accruals,
<br /> including, but not limited to, the accrual of vacation, sick leave, "in lieu" hours, through
<br /> the "Separation Date ".
<br /> C. All payments made pursuant to this Agreement shall be subject to all
<br /> customary withholdings.
<br /> D. INGRAM shall be entitled to payment of any unused leave accruals
<br /> including but not limited to vacation, sick leave, and "in lieu" hours on June 30, 2011.
<br /> 4. Consideration.
<br /> INGRAM acknowledges and agrees that the amounts promised in this
<br /> Agreement exceed what he is entitled to receive under his Employment Agreement or
<br /> under CITY's standard policies and procedures, and, therefore, constitute valid legal
<br /> consideration for the Agreement. Specifically, salary and benefits payment for the period
<br /> December 9 through 31, 2010, associated with INGRAM's accessibility during the
<br /> transition period.
<br /> 5. Property and Equipment
<br /> As of November 15, 2010, INGRAM has removed from his CITY office
<br /> all of his personal property and returned to CITY all CITY property he had in his
<br /> possession or control, including credit cards, entry cards, keys, identification badges, and
<br /> computer data. INGRAM shall retain possession of certain equipment in order to be
<br /> available to assist in the transition period. Said equipment is one city cell phone and one
<br /> iPad until December 31, 2010, at which time INGRAM shall return said CITY equipment
<br /> to the Interim City Manager or City Manager, as the case may be.
<br /> 6. Release of Claims.
<br /> A. INGRAM represents that he has not filed any complaint, grievance, claim
<br /> or action against CITY or any of its City Council members, officers, agents, directors,
<br /> employees, or assigns (collectively, "'RELEASEES ") with any state, federal or local
<br /> agency, board, arbitrator or court, and will not do so at any time hereafter based on any
<br /> matters arising out of his employment with CITY and/or his separation from CITY
<br /> employment.
<br /> B. INGRAM hereby releases and forever discharges CITY and
<br /> RELEASEES from any and all claims, liabilities, demands, causes of action, costs,
