...� ORIGINAL <br /> 2011 <br /> AGREEMENT <br /> THIS AGREEMENT is made and entered into this Y of December, 2010, <br /> by and between the City of Redwood City, a municipal corporation (hereinafter referred -' <br /> to as "City "), and Management Partners, Inc., (hereinafter referred to as "Partners "). <br /> RECITALS <br /> WHEREAS, City desires to contract for temporary management services, and <br /> WHEREAS, Partners desires to perform and assume responsibility for the <br /> provision of certain management services required by the City on the terms and <br /> conditions set forth in this Agreement. Partners represents that it is experienced in <br /> providing management services to units of local government and other municipal service <br /> providers, and is familiar with the City's administrative, management and financial <br /> practices, as well as the operation of facilities such as those owned, maintained and <br /> operated by the City; and <br /> WHEREAS, City desires to engage Partners to render interim management <br /> services and related and analytical services in connection therewith and Partners is <br /> willing to provide such services, <br /> NOW THEREFORE, in consideration of the premises and mutual obligations <br /> herein, the parties hereto do mutually agree as follows: <br /> 1. Scope of services. Partners shall perform management consulting services <br /> (hereinafter referred to as the "services ") in a satisfactory and proper manner in <br /> accordance with direction provided by the City of Redwood City. These services shall <br /> consist of two components: a professional local government manager, acceptable to the <br /> City, to provide interim department head management services at the base rate of 24 <br /> hours per week, and professional assistance in negotiations as may be requested by the <br /> City and agreed upon by the parties. <br /> 2. Time of Performance. Services of Partners shall be available upon receipt of <br /> an approved copy of this Agreement, and work shall be undertaken and completed in <br /> accordance with direction provided by the City and in a time frame consistent with the <br /> purposes of this Agreement. This Agreement shall run for a period of six months from <br /> the commencement of services, and shall be extended on a month -to -month basis <br /> thereafter unless sooner terminated pursuant to this agreement. <br /> 3. Compensation and Method of Payment. City will pay Partners $13,000 per <br /> month for interim department management services. Partners will invoice City monthly <br /> with such invoices payable on a semi - monthly basis. To the extent that City requires <br /> additional service beyond the base rate, and for the professional assistance in <br /> negotiations, Partners will be compensated at the rate of $175.00 per hour. Partners <br /> shall be reimbursed for any expenses incurred in providing negotiating services, <br /> provided appropriate documentation is provided to the City with an invoiced. <br /> 4. Independent Partners. Neither Partners nor its employees are considered to <br /> be employees of City for any purpose whatsoever. Partners is an independent contractor <br /> in the performance of the services herein described. <br /> 1 <br />
