or remedies hereunder or may seek damages or specific performance in the event of the other <br /> party's breach hereunder, or may pursue any other remedy at law or equity, whether or not stated <br /> in this Agreement. <br /> 7.4. Attorney's Fees. In the event any declaratory or other legal or equitable action is <br /> instituted between Seller, Buyer, and /or Escrow Agent in connection with this Agreement, then <br /> as between Buyer and Seller, the prevailing party shall be entitled to recover from the losing <br /> party all of its costs and expenses, including court costs, and reasonable attorneys' fees, and all <br /> fees, costs and expenses incurred on any appeal or in collection of any judgment. <br /> 7.5. Notices. All notices or other communications required or permitted hereunder <br /> shall be in writing, and shall be personally delivered, sent by facsimile, reputable overnight <br /> courier, or sent by registered or certified mail, postage prepaid, return receipt requested, and shall <br /> be deemed received upon the earlier of: (i) if personally delivered, the date of delivery to the <br /> address of the person to receive such notice; (ii) if mailed, three (3) business days after the date <br /> of posting by the United States post office; (iii) if delivered by Federal Express or other <br /> overnight courier for next business day delivery, the next business day; or (iv) if sent by <br /> facsimile, with the original sent on the same day by overnight courier, the date on which the <br /> facsimile is received, provided it is before 5:00 P.M. Pacific Time. Notice of change of address <br /> shall be given by written notice in the manner described in this Section 6.4. Rejection or other <br /> refusal to accept or the inability to deliver because of a change in address of which no notice was <br /> given shall be deemed to constitute receipt of the notice, demand, request or communication <br /> sent. Unless changed in accordance herewith, the addresses for notices given pursuant to this <br /> Agreement shall be as follows: <br /> If to Seller: City of Redwood City <br /> Attention: City Manager <br /> 1017 Middlefield Road <br /> Redwood City, CA 94063 <br /> If to Buyer: San Mateo County Service League <br /> Attention: Executive Director <br /> 727 Middlefield Road <br /> Redwood City, CA 94063 <br /> 7.6. Cooperation. From and after the Effective Date and continuing following the <br /> Close of Escrow, Seller and its representatives shall cooperate in all reasonable respects with <br /> Buyer's efforts towards developing the Property. In that regard, Seller shall make its <br /> representatives and consultants, and the materials and documents with respect to the Property to <br /> which Seller has access, available to Buyer on a timely basis, at no additional cost to Buyer <br /> (except that with respect to third -part consultants, once Escrow closes, Seller shall not be <br /> obligated to incur further fees and costs with such consultants) and to support Buyer's efforts <br /> before any governmental agency, when requested to do so, including the execution of such <br /> documents and maps as may be necessary for Buyer to obtain its' entitlements. <br /> 15 <br /> 82483.00000\5571002 3 <br /> ATTY /AGR/2010.120 <br /> 103010 <br />
