7. TERMINATION. <br /> Either party may terminate this Agreement at any time after providing written <br /> notification at least thirty (30) days prior to the intended termination date to the <br /> Parties specified below. <br /> 8. MISCELLANEOUS. <br /> 8.1 Compliance With Laws. Licensee will comply with all applicable local, <br /> state and federal laws and regulations including those prohibiting <br /> discrimination and harassment. <br /> 8.2 Venue and Jurisdiction. Licensee agrees and stipulates that the proper <br /> venue and jurisdiction for resolution of any disputes between the parties <br /> arising out of this Agreement is the Superior Court, San Mateo County, <br /> California. <br /> 8.3 Assignment. Licensee may not assign this Agreement or any part of it, or <br /> a Y 9 9 YP <br /> any monies due or to become due under it, without the prior written <br /> consent of Licensor. <br /> 8.4 Amendments. This Agreement may be amended by mutual consent of <br /> Licensor and Licensee. Any amendment will be in writing, signed by both <br /> parties, with a statement of the changes in charges or time schedule. <br /> 9.
