ORIGIi���. <br /> AMENDMENT NO. 1 <br /> TO AMEND AGREEMENT FOR <br /> 2010-2011 Comprehensive Street Tree Maintenance <br /> The Professional Tree Care Company <br /> Thi endment No. 1 is entered into and effective as of the � day of <br /> , 2012, extending the agreement dated February 2, 2011 <br /> (the "Agreement" by and between the City of Redwood City, a charter city and <br /> municipal cor tion of the State of California ("City"), and The Professional Tree Care <br /> Company, Contractor") (collectively, the "Parties") for performing tree maintenance <br /> services. <br /> RECITALS <br /> A. On February 2, 2011, the Parties executed the Agreement in the amount <br /> of $200,000; and <br /> B. The Parties agree to extend the Agreement for an additional one (1) year <br /> term subject to the amended fee schedule, attached hereto and incorporated herein by <br /> this reference as Exhibit "A," Fees. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. The Agreement, as may have been amended from time to time, is hereby <br /> extended for a period of one (1) year, ending on March 5, 2013. <br /> 2. City will pay Contractor for alf work associated with those services <br /> described in Exhibit "A" on a unit bid price basis not-to-exceed one hundred ninety <br /> thousand dollars ($190,000.00). With this Amendment, the total aggregate Agreement <br /> amount shall not exceed four hundred thousand dollars ($400,000.00). Contractor will <br /> provide City, on a monthly basis, copies of invoices sufficiently detailed to include work <br /> performed, unit bid rates, and related activities and costs for approval by City. <br /> 4. All other provisions of the Agreement, as may have been amended from <br /> time to time, will remain in full force and effect. <br /> 5. All requisite insurance policies to be maintained by the Contractor <br /> pursuant to the Agreement, as may have been amended from time to time, will include <br /> coverage for this Amendment. <br /> 6. The individuals executing this Amendment and the instruments referenced <br /> in it on behalf of Contractor each represent and warrant that they have the legal power, <br /> right and actual authority to bind Contractor to the terms and conditions of this <br /> Amendment. <br /> ATTY/AGR/2012/AMEND N0.1 THE PROFESSIONAL TREE CARE COMPANY <br /> Page 1 of 3 <br />
