6.3B Page 12 8. Entire Agreement. This Agreement represents the entire understanding between the Parties in connection with the subject matter of this Agreement. There are no representations, warranties, agreements, arrangements, or undertakings, oral or written, between or among the Parties hereto related to the subject matter of this Agreement that are not fully expressed herein. The terms of this Agreement are contractual and not mere recitals. This Agreement cannot be altered or varied except by a writing duly signed by the Parties or their authorized representatives. 9. Severability. If any term or provision hereof is illegal or invalid for any reason whatsoever, such illegality or invalidity shall not affect the validity and binding effect of the remainder of this Agreement upon the Parties. 10. Jurisdiction. This Agreement shall be deemed to have been entered into in the State of California. All questions concerning the validity, interpretation, or performance of any of its terms or provisions, or any rights or obligations of the Parties hereto shall be given by and resolved in accordance with the laws of the State of California. 11. Counterparts. The Parties agree that this Agreement may be signed in counterparts, and will be effective upon the date of the last Party signing it. Signatures which are facsimiles shall be deemed originals. 12. No Admission. Nothing in this Agreement shall be deemed as an admission or denial as to the validity of any claims or defenses. 13. Notices.
