ORIGINAL <br /> AMENDMENT NO. 2 TO EXTEND AND AMEND AGREEAIIENT FOR <br /> PROFESSIONAL CONSULTItdG SERVICES <br /> MAXIMUS CONSULTING SERVICES, INC. <br /> This Amendment No. 2 is entered into and effective as of the 1st day of July, <br /> 2012, extending and amending the agreement dated February 14, 2011 (the <br /> "AgreemenC) by and behveen the City of Redwood City, a charter city and municipal <br /> corporation of the State of California ("City"), and Maximus Consulting Services, Inc., a <br /> wholly owned subsidiary of Maximus, Inc., ("ConsultanY') (collectively, the "Parties") for <br /> Professional Consulting Services. <br /> RECITALS <br /> A. On February 14, 2011, the Parties executed Professional Consulting <br /> Services; , <br /> B. On July 1, 2012, the Parties executed Amendment No. 1 to Extend the <br /> Agreement for Professional Consulting Services; <br /> C. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit °A," Scope of 5ervices and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. That the Agreement, as may have been amended from time to time, is <br /> hereby extended for a period of one year ending on June 30, 2013 and Consultant will <br /> be paid a not to exceed amount of nine thousand one hundred dollars ($9,300). <br /> 2. Consultant will complete al� work described in Exhibit °A" by June 30, <br /> 2013. <br /> 3. All other provisions of the Agreement, as may have been amended from <br /> time to time, wili remain in full force and efFect. <br /> 4. All requisite insurance policies to be maintained by the Consuitant <br /> pursuant to the Agreement, as may have been amended from time to time, will include <br /> coverage for this Amendment. <br /> 5. The individuals executing this Amendment and the instruments referenced <br /> in it on behalf of Consultant each represent and warrant that they have the legal power, <br /> right and actual authordy to bind Consultant to the terms and conditions of this <br /> Amendment. <br /> .
