i ��,�C�I�� ' AMENDMENT NO. 3 TO AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES (Maximus Consulting Services, Inc.) This Amendment No. 3 is entered into and effective as of the �-7 day of , 2013, amending the agreement dated February 14, 2011� (the "Agreeme ' b and between the City of Redwood City, a charter city and municipal corporation ("City"), and Maximus Consulting Services, Inc., a wholly owned subsidiary of Maximus, Inc., ("Consultant") (collectively, the "Parties") for cost reimbursement services. RECITALS A. On February 14, 2011, the Parties executed an Agreement for Professional Consulting Services; and B. On July 1, 2011, the Parties executed Amendment No. 1 to extend the term of the Agreement; and C. On July 1, 2012, the Parties executed Amendment No. 2 to amend the scope of services and fee; and D. The Parties have negotiated and agreed to a supplemental scope of work and fee schedule, which is attached to and incorporated by this reference as Revised Exhibit A and Revised Exhibit B. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Section 1. Scope of Work shall be deleted and replaced in its entirety with the following: "Scope of Work. Consultant shall perform in a professional manner the Services detailed in Revised Exhibit A." Section 3. Compensation shall be deleted and replaced in its entirety with the following: "Compensation. City shall pay Consultant a fee for services rendered as set forth in Revised Exhibit B, incorporated herein by reference as if fully set forth as part of this Agreement." 2.
