ORIGINAL AMENDMENT NO. 6 TO AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES MAXIMUS CONSULTING SERVICES, INC. This Amendment No. 6 to Agreement for Professional Consulting Services MAXIMUS Consulting Services. , Inc . ( " Amendment No . 6 " ) is entered into and effective as of the 1st day of July, 2016, by and between the City of Redwood City., a charter city and municipal corporation of the State of California ("City"), and MAXIMUS Consulting Services, Inc., a wholly owned subsidiary of MAXIMUS, inc., ("Consultant") (collectively, the "Parties") for Professional Consulting Services. RECITALS A. On February 14, 2011 , the Parties executed an agreement for Professional Consulting Services ("the Agreement"); and B. On July 1 , 2011 , the Parties executed Amendment No 1 to Extend the Agreement for Professional Consulting Services; and G. On July 1 , 2012, the Parties executed Amendment No. 2 to amend the terms, scope of services and fee; and D. On July 27, 2013, the Parties executed Amendment No.. 3 to amend the terms, scope of services and fee; and E. On July 31 , 2014, the Parties executed Amendment No. 4 to amend the terms, scope of services and fee; and F. On July 1 , 2015, the Parties executed Amendment No. 5 to amend the terms, scope of services and fee; and • G. The Parties have negotiated and agreed to further amendments as provided for in this Amendment No. 6. ! NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1 . Section 1 . Scope of Work is hereby amended to read in its entirety as follows: Section 1 . Scope of Work. City retains consultant to perform, and Consultant agrees to render, those services (the "Services") that are defined in Exhibit "A," for the compensation described in Exhibit "B," attached hereto and incorporated by this reference in accordance with the terms and conditions set forth in this Agreement and all prior Amendments. Consultant agrees to complete the Services by no later than June 30, 2017. 2. Section 3. Compensation is hereby amended to read in its entirety as follows: Section 3. Compensation .
