All sums disbursed to Contractor hereunder shall be held in trust by Contractor and <br /> distributed to Contractor's individual members as compensation for their representative <br /> individual services rendered at the above rates. It is understood and agreed that in no <br /> event shall the total amount be paid by City for all individual services to be rendered by <br /> Contractor's members exceed Ten Thousand Three Hundred Ninety Four Dollars and <br /> 00 /100 ($10,394.00) for umpiring games, and Two Hundred and 00 /100 Dollars <br /> ($200.00) for coordinating services. The total amount to be paid by City under this <br /> agreement for all services, including administration shall not exceed Ten Thousand Five <br /> Hundred and Ninety Four Dollars and 00 /100 ($10,594.00) Payment, or installment <br /> payments, shall be made at such times and in such form as City deems proper. <br /> Contractor shall provide an accounting to the Director of Finance of City of all funds <br /> disbursed to employees of Contractor and shall return all payments, or portions thereof, <br /> which have not been disbursed. <br /> 4. City shall purchase and distribute rule books to individual members of <br /> Contractor for use in performing officiating services hereunder. <br /> 5. Contractor agrees to indemnify and hold harmless the City of Redwood City, <br /> its Council, commissions, boards, officers, agents, servants and employees from any and <br /> all claims or liabilities which result or are alleged to have resulted from Contractor's <br /> administration of the individual activities of Contractor's members. <br />
