ORIGINAL <br /> AGREEMENT <br /> Quality Striping, Inc. <br /> THIS AGREEMENT is made and entered into as of the day of 61 <br /> 2011, by and between the City of Redwood City, a charter city and municipal co po ation the State of <br /> California ( "City "), and Quality Striping, Inc. ( "Contractor") <br /> RECITALS <br /> A. City requires Contractor's services. <br /> B. Contractor has the necessary experience in providing professional services and advice. <br /> C. Selection of Contractor is expected to achieve the desired results in an expedited fashion. <br /> D. Contractor has submitted a proposal to City and has affirmed its willingness and ability to perform <br /> such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, <br /> the Parties agree as follows: <br /> 1. Scope of Work and Time for Performance. Contractor shall perform everything required to be <br /> performed, shall provide and furnish all of the labor, equipment, materials, and tools to perform, <br /> within thirty (30) calendar days after the NOTICE TO PROCEED, the following work: <br /> SEQUOIA SCHOOL CLUSTER PEDESTRIAN IMPROVEMENTS PROJECT <br /> JAMES AVENUE — HARRISON AVENUE, REDWOOD CITY <br /> in strict accordance with the Plans, Contract Documents and Specifications pertaining thereto <br /> as described in Exhibit "A ", attached hereto and incorporated herein, signed by the Manager, <br /> Engineering and Construction of Redwood City, which Documents are incorporated herein and <br /> made a part of this Agreement as if herein fully set forth. <br /> 2. Compensation. City shall pay to Contractor, as full consideration for the faithful performance by <br /> Contractor of the aforementioned work, the amount of Thirty seven thousand nine hundred <br /> seventy eight and 00/100 Dollars ($37,978.00) computed in accordance with Contractor's <br /> accepted Proposal dated January 19, 2011 which accepted Proposal is incorporated herein by <br /> reference thereto as if herein fully set forth. <br /> 3. Standard of Performance. All of the work to be done shall be done to the approval of, City or its <br /> authorized representative, and the work shall be done in the best workmanlike manner, <br /> conforming strictly to the provisions of the specifications and plans made thereof. Work shall be <br /> done at times that are agreed to by City. <br /> 4. Labor Code provisions. Contractor shall comply with the provisions set forth in that document <br /> entitled "Labor Code Provisions" which is attached hereto and incorporated herein by reference. <br /> 5. Liquidated Damages. It is hereby agreed by the parties to the Agreement that in case all work <br /> called for under the Agreement is not finished or completed on or before the time set forth in this <br /> Agreement, damage will be sustained by City, and that it is and will be impracticable and <br /> extremely difficult to ascertain and determine the actual damage which the City will sustain in <br /> event of and by reason of such delay; it is therefore agreed Contractor will pay to City the sum <br /> SEQUOIA SCHOOL CLUSTER PEDESTRIAN IMPROVEMENTS PROJECT Page 1 <br /> JAMES AVENUE- HARRISON AVENUE, REDWOOD CITY <br />
