ORIGINAL AGREEMENT Quality Striping, Inc. THIS AGREEMENT is made and entered into as of the day of 61 2011, by and between the City of Redwood City, a charter city and municipal co po ation the State of California ( "City "), and Quality Striping, Inc. ( "Contractor") RECITALS A. City requires Contractor's services. B. Contractor has the necessary experience in providing professional services and advice. C. Selection of Contractor is expected to achieve the desired results in an expedited fashion. D. Contractor has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Scope of Work and Time for Performance. Contractor shall perform everything required to be performed, shall provide and furnish all of the labor, equipment, materials, and tools to perform, within thirty (30) calendar days after the NOTICE TO PROCEED, the following work: SEQUOIA SCHOOL CLUSTER PEDESTRIAN IMPROVEMENTS PROJECT JAMES AVENUE — HARRISON AVENUE, REDWOOD CITY in strict accordance with the Plans, Contract Documents and Specifications pertaining thereto as described in Exhibit "A ", attached hereto and incorporated herein, signed by the Manager, Engineering and Construction of Redwood City, which Documents are incorporated herein and made a part of this Agreement as if herein fully set forth. 2. Compensation. City shall pay to Contractor, as full consideration for the faithful performance by Contractor of the aforementioned work, the amount of Thirty seven thousand nine hundred seventy eight and 00/100 Dollars ($37,978.00) computed in accordance with Contractor's accepted Proposal dated January 19, 2011 which accepted Proposal is incorporated herein by reference thereto as if herein fully set forth. 3. Standard of Performance. All of the work to be done shall be done to the approval of, City or its authorized representative, and the work shall be done in the best workmanlike manner, conforming strictly to the provisions of the specifications and plans made thereof. Work shall be done at times that are agreed to by City. 4. Labor Code provisions. Contractor shall comply with the provisions set forth in that document entitled "Labor Code Provisions" which is attached hereto and incorporated herein by reference. 5. Liquidated Damages. It is hereby agreed by the parties to the Agreement that in case all work called for under the Agreement is not finished or completed on or before the time set forth in this Agreement, damage will be sustained by City, and that it is and will be impracticable and extremely difficult to ascertain and determine the actual damage which the City will sustain in event of and by reason of such delay; it is therefore agreed Contractor will pay to City the sum SEQUOIA SCHOOL CLUSTER PEDESTRIAN IMPROVEMENTS PROJECT Page 1 JAMES AVENUE- HARRISON AVENUE, REDWOOD CITY
