inform the Agency that approval will be deemed to have been <br />given within seven (7) days if not sooner disapproved. <br />(5) The Agency shall have' no obligation to <br />disburse any portion of the Agency Assistance if at the time <br />disbursement is requested the Agency has a good faith belief <br />that the College is in default of any provision of this <br />Agreement. <br />b. The College shall have an affirmative obligation <br />to lease the space within the Property and to operate the <br />designated program at that space. In the event that the College <br />fails to do so, it shall return the Agency Assistance. <br />Section 4 . Costs of the Project Except as <br />specifically provided in this Agreement, the Agency will have no <br />obligation to provide assistance to the Project or any costs of <br />leasing the space or operating the College's intended program. <br />Section 5 No Transfers or A ssignme nts . The <br />College agrees and acknowledges that the use specified in this <br />Agreement for the space within the Property is of particular <br />concern to the Agency and that the Agency would not enter into <br />this Agreement in the absence of the College's commitment to <br />undertake that use. Accordingly, the College may not transfer <br />or assign any right under this Agreement without the express <br />written consent of the Agency, which consent may be given or <br />denied in the Agency's absolute discretion. <br />Section 6 . Waces and Comnlia wi th State Laws. <br />The College shall comply with any applicable labor regulations <br />and all other State Laws in connection with the construction of <br />any improvements at the Property. Specifically, and without <br />limiting the scope of the foregoing sentence, the College agrees <br />that it will pay, and /or cause all of its general contractors or <br />subcontractors to pay, prevailing wages as determined in <br />accordance with State law. <br />a. In the event the College breaches any of its <br />covenants or obligations under this Agreement (after giving <br />effect to any applicable cure periods) , the College shall, at <br />the option of the Agency and upon demand by the Agency to the <br />College, immediately repay to the Agency all amounts previously <br />disbursed comprising the Agency Assistance.
