8.A ATTACF�+1� Section 6. Pursuant to the voter approval, the proposed changes to the proceedings related to the District are hereby declared to be enacted as heretofore provided in these proceedings and in the Law. Section 7. The City Clerk is hereby directed to execute and cause to be recorded in the �� office of the County Recorder an amended notice of special tax lien in a form provided by Bond Counsel, said recording to occur no later than fifteen days following adoptian by the City Council of this Resolution. Sectian 8. The City Cauncil hereby determines that Resolution No. 15071 is amended to autharize the issuance by the City, for and on behalf of the District, of the Bonds in a principal amount not to exceed �7,540,000 and at a true interest cost not to exceed 9.00% per annum. All other provisions of Resolution No. 15071 shall remain in full force and effect. Section 9. The City Council hereby approves the First Amendment to Acquisition Agreement in the form presented to the City Council at this meeting. The Director of Finance, the City Manager or such other person or persons as either of them may designate (collectively, the "Auth�rized Officers") are each hereby authorized and directed to execute the First Amendment to Acquisition Agreement, for and in the name and on behalf of the City and the District, in such form, togethe� with any additions thereto or changes therein deemed necessary or advisable by the Authorized Officer executing such document upon consultation with the City Attorney and Nossaman LLP, as band counsel ("Bond CounseP'). Section 10. The City Council hereby approves the Preliminary Official Statement in the farm presented to the City Council at this meeting. The Authorized Officers are each hereby authorized and directed to execute a final Official Statement (the "Official Statement"), for and in the name and on behalf of the City and the District, in such form, tagether with any additions thereto or changes therein deemed necessary Qr advisable by the Authorized Officer exeeuting such document upon consultation with the City Attorney, Jones Hall, A Professional Law Corporation ("Disclosure Counsel") and Bond Counsel. The City Council hereby authorizes and directs the Underwriter to distribute copies of said Preliminary Official Statement to persons who may be interested in the purchase of the respective series of bonds and to deliver copies of the Official Statement to all actual purchasers of the respective series of bonds. The City Council hereby authorizes the delivery by the City of the Official Statement. The Authorized Officers are each hereby authorized and directed to execute a certificate or certificates to the effect that the Official Statement and the Preliminary Official Statement were deemed "final" as of their respective dates for purposes of Rule 15c2-12 of the Securities Exchange Act of 1934, and the Authorized Officers are each hereby authorized to so deem such statements final. Section 71. Except as otherwise set forth in this Resolution, all other actions of this City Council, as the legislative body of the District o� otherwise, with respect to the District shall remain in fulf force and ef#ect.
