Real Estate Purchase Agreement. As of the Effective Date, the Agency <br /> hereby grants, assigns, transfers, and delivers to the City all of the Agency's right, title, <br /> interest in, to and under that certain Real Estate Purchase and Sale Agreement, dated for <br /> reference purposes as of March 4, 2011 (the "Purchase Agreement "), between the <br /> Agency (as the "Buyer ") and Janice Salaman, individually, and Janice Salaman, as <br /> Successor Trustee of the J. Franklin Salaman Trust under agreement dated March 7, 1997 <br /> (as the "Seller "). <br /> 2. Acceptance and Assumption. As of the Effective Date, Agency hereby <br /> accepts the grant, assignment, transfer and delivery of all of the Agency's right, title and <br /> interest as the "Buyer" under the Purchase Agreement and assumes and agrees to keep, <br /> observe, perform and be bound by all of the covenants and obligations that are required to <br /> be performed by the "Buyer" under the Purchase Agreement for the period from and after <br /> the Effective Date. <br /> 3. Memorandum. Reference is made to that certain Memorandum of Real <br /> Estate Purchase Agreement dated as of March 4, 2011, by and between Janice Salaman, <br /> individually, and Janice Salaman, as Successor Trustee of the J. Franklin Salaman Trust <br /> under agreement dated March 7, 1997 (as the "Seller "), and the Agency (as the <br /> "Buyer "), which was recorded in the Official Records of San Mateo County, California <br /> on March 1 1, 2011, as Instrument No. 2011 - 029456 , relating to the real <br /> property commonly known as 1548 Maple Street, Redwood City, California, as more <br /> particularly described in Exhibit A attached hereto. <br /> 1 <br />
