6.2. Additional Provisions. Fire Department will ensure that the Commercial General Liability and Automobile Liability policies of insurance required under this Agreement contain, or are endorsed to contain, a provision requiring the other Party to be named as an additional insured: 6.2.1 City of Redwood City will be named as additional insured. 7. INDEMNIFICATION. City hereby agrees to defend, indemnify, and save Colma Fire Protection District and its officers, agents, and employees harmless against and from any and all claims, suits, actions of every name, kind and description, which may be brought against Fire Department, by reason of any injury to, or death of, any person (including corporations, partnerships and associations) or damage suffered or sustained by any such person arising from, or alleged to have arisen from, any act or omission to act, negligent or otherwise, of Fire Department arising out of the City's Maintenance Services provided under this agreement. Colma Fire Protection District hereby agrees to defend, indemnify, and save City and its officers, agents, and employees harmless against and from any and all claims, suits, actions of every name, kind and description, which may be brought against City, by reason of any injury to, or death of, any person (including corporations, partnerships and associations) or damage suffered or sustained by any such person arising from, or alleged to have arisen from, any act or omission to act, negligent or otherwise, of City arising out of Fire Department's use or ownership of the Motor Vehicles. Although Fire Department shall not indemnify City for damage suffered as a result of the Maintenance Services performed by the City, Fire Department shall indemnify City for damage caused by Fire Department's failure to schedule maintenance as required by the ATTY /AGR/2011. 024 031111 5
