Agreements <br /> <br /> 1. ACQUISITION OF PROJECT SITE. This Agreement is expressly <br />conditioned upon the acquisition by the City, including, if applicable, order(s) of <br />prejudgment possession, of the remainder of the Project Site; provided, however, that in <br />the event City is unable to acquire the Project Site, this Agreement shall terminate and <br />City and Agency shall reimburse Developer for pre-construction design costs incurred <br />by Developer as of the date of termination. <br /> <br /> 2. SCOPE OF WORK. Developer shall be responsible for providing all <br />personnel, equipment, materials and services, either itself or through consultants <br />acceptable to City, required to design, obtain permits and provide construction <br />administration for the Public Parking Facility described in the DDA (the "Services"), as <br />more fully described in Exhibit A and shown on Exhibit B attached hereto and <br />incorporated herein by reference. In addition, Developer shall be responsible for <br />coordinating with Pacific Gas and Electric ("PG&E"), SBC/Pacific Bell ("PacBell") and <br />any other utilities with facilities affected by the Project for the relocation of their private <br />utility lines as required for the Project, which relocation work shall be performed by the <br />respective utility, at its cost. <br /> <br /> Developer shall have all construction documents for the Project processed <br />through approval by the City, Agency, and all other agencies with jurisdiction prior to <br />construction. All design documents and construction contracts must be submitted to the <br />City by (August 1, 2003) for review and approval, and shall be in accordance with the <br />City's revised specifications entitled "Engineering Standards of the City of Redwood <br />City," adopted January 5, 1998 which standards are on file in the office of the Manager, <br />Engineering and Construction Department, latest edition of the Uniform Building Code, <br />and all other statutes, laws, regulations or ordinances of authorities with jurisdiction over <br />the Project. Said Work shall also be constructed in strict compliance with the provisions <br />of Article VII, Chapter 29 of the Code of the City of Redwood City. If any conflict exists <br />between the plans and specifications and said Chapter 29 in regard to the standard for <br />a particular improvement, the stricter standard shall govern. <br /> <br />F:Atty/Agr/Agr.119 <br />052003 2 <br /> <br /> <br />
