Recording Requested by and: <br /> When Recorded Return to: <br /> CITY OF REDWOOD CITY <br /> 1017 Middlefield Road <br /> Redwood City, California 94063 <br /> Attn: City Manager <br /> This Space For Recorder's Use Only <br /> ASSIGNMENT OF REAL ESTATE PURCHASE AND SALE AGREEMENT <br /> This Assignment of Real Estate Purchase and Sale Agreement (this <br /> "Assignment "), dated as of March 7, 2011 (the "Effective Date "), is entered into by and <br /> between THE REDEVELOPMENT AGENCY OF THE CITY OF REDWOOD <br /> CITY (the "Agency ") and THE CITY OF REDWOOD CITY, a charter city and <br /> municipal corporation of the State of California (the "City "). <br /> 1. Real Estate Purchase Agreement. As of the Effective Date, the Agency <br /> hereby grants, assigns, transfers, and delivers to the City all of the Agency's right, title, <br /> interest in, to and under that certain Real Estate Purchase and Sale Agreement, dated for <br /> reference purposes as of March 4, 2011 (the "Purchase Agreement "), between the <br /> Agency (as the "Buyer ") and Salaman Associates, LLC, a California limited liability <br /> company (as the "Seller "). <br /> 2. Acceptance and Assumption. As of the Effective Date, Agency hereby <br /> accepts the grant, assignment, transfer and delivery of all of the Agency's right, title and <br /> interest as the `Buyer" under the Purchase Agreement and assumes and agrees to keep, <br /> observe, perform and be bound by all of the covenants and obligations that are required to <br /> be performed by the "Buyer" under the Purchase Agreement for the period from and after <br /> the Effective Date. <br /> 3. Memorandum. Reference is made to that certain Memorandum of Real <br /> Estate Purchase Agreement dated as of March 4, 2011, by and between Salaman <br /> Associates, LLC, a California limited liability company, (as the "Seller "), and the <br /> Agency (as the "Buyer "), which was recorded in the Official Records of San Mateo <br /> County, California on ly1,a, %l,z 2011, as Instrument No. 2011 - 039193 <br /> relating to the real property commonly known as 1548 Maple Street, Redwood City, <br /> California, as more particularly described in Exhibit A attached hereto. <br /> 1 <br />
