ORIGINAL <br /> AGREEMENT <br /> PROFESSIONAL SERVICES <br /> (City - GIS and IT Services) <br /> THIS AGREEMENT, made and entered into this 27th day of April 2011, <br /> by and between the Port of Redwood City, a municipal corporation of the State of <br /> California (an a Department of the City of Redwood City; "Port"), and the City of <br /> Redwood City, a municipal corporation of the State of Califomia ( "City "). <br /> WITNESSETH: <br /> WHEREAS, Port intends to develop and implement a Geographic <br /> Information System (GIS) and Information Technology (IT) services (the <br /> "Project "); and <br /> WHEREAS, in connection with the Project, the Port desires City's <br /> services; and <br /> NOW, THEREFORE, the parties hereto agree as follows: <br /> 1. CONSULTANT'S SERVICES. City shall provide and perform the <br /> services defined in Exhibit A, attached hereto and incorporated by this reference. <br /> City is aware that this project is funded by a grant (the "Grant ") from the Marine <br /> Exchange of the San Francisco Bay Region (the "SFMX ") and that this <br /> Agreement is subject to the agreement entitled "Sub- Grantee Agreement" <br /> between the Port and SFMX, and further subject to the SFMX PSGP <br /> Procurements and Purchasing Policies and Procedures Manual (the "Manual "). <br /> Copies of the Sub - Grantee Agreement and the Manual have been provided to <br /> portagr 1 <br /> 04/21/2011 RR <br />
