RECITALS Employer acts as a pu�lic plar� sponsor for a retiree health p�ar� with resp�nsi�ility to obtain in�estment alternati�es and services for employees participating in that plar�; Employer desires to ma1�e the Var�tageCare Retirement Health Sa�ings P�ar� �"RHS Plar�" or "Plan"}pro�ided by ICMA-RC a�aila�Ie to it�s emp�oyees; ICMA-RC mal�es a�ailable the Vantagepoin.t Funds, a no-Ioad, di�ersified mutual fund, for in�estment of pu�Iic employer plan assets, including RHS Pla,n assets; ICMA-RC pro�ides a complete of�ering of ser�ices to pu�Iic employers for the operati�n of employee retirement and retire� health sa�ings plans including, but n�t limited to, c�mmunications �oncerning in�estment alternati�es, account maintenance, a�count record- keeping, in�estm�nt and tax repor�ing, form processing, �enef t disbursement a,nd asset max�agement. AGREEMENTS 1. Acce�tance of RHS P1an Emp�oyer agrees t�make the RHS P�an pro�ided�y ICMA-RC a�aila�le t�its employees. The details of the RHS P�ar�shall be as mutually agreed�etv�een the Employer and ICMA-RC,and in general sha1l be as set forth in the RHS Plan mater�als de�eloped by ICMA-RC and pro�ided to Employer.The RHS Plar�materials are here�y incorp�rated�y reference ar�d made a part of this Agre�ment,except that Employer and ICMA-RC may from time to time mutually agree in writing to terms that�ary from the RHS Plan materials. RHS plan mater�ais shall include the Yantage�'are R�IS Emplayer Manual, a�ailable electronica�Iy through the EZ L�nk System upon plax�adoption. The functions to be performed�y ICMA-RC and its agents include: (a} allocati�n in acc�rdance with participant direction of indi�idual accounts t� in�est�nent funds("Funds"}made a�aila�Ie to Plan participar�ts; �b} maintenance of indi�idual a�counts for participants reflecting amounts c�ntributed, - � -
