Authorize the City Manager to amend the Saltworks Project contract amounts by a <br /> contingency amount not to exceed $450,000.00 related to the work described in <br /> Items 3 and 4. <br /> BAC KG RO U N D <br /> Informational Briefing <br /> On October 7, 2010, the City released a Notice of Preparation & Initial Study, which <br /> included a project description and environmental checklist associated with the review of <br /> the Saltworks Project and marked the start of the public comment period. On October <br /> 19, 2010, the project was introduced to the Planning Commission as the first in a series <br /> of public scoping meetings established to provide the public an opportunity to comment <br /> on both the City's environmental review process as well as the proposed Saltworks <br /> Project. Following the Planning Commission meeting, the City hosted four scoping <br /> meeting workshops, each with a set of focused topics: <br /> • November 6, 2010: Land Use & Housing <br /> • November 30, 2010: Water, Wastewater & Flooding <br /> • January 29, 2011: Natural Resources, Cultural, Historical, �/isual, & Geological <br /> • February 23, 2011: Transportation, Air Quality, Greenhouse Gas Emissions & <br /> Noise <br /> March 31, 2011, marked the close of the comment period for the first Notice of <br /> Preparation. <br /> ACTION ITEMS <br /> 1. First Amended and Restated Reimbursement and Processing Agreement <br /> The City previously entered into a Reimbursement Agreement with Redwood City Plant <br /> Site LLC (the "Original Reimbursement Agreement") that established terms upon which <br /> the applicant would reimburse the City for expenses associated with processing <br /> applications for the Saltworks Project. The City now proposes to enter into a First <br /> Amended and Restated Reimbursement and Processing Agreement (the "Amended <br /> Reimbursement Agreement") with that entity that has since been formed to pursue <br /> approvals for the Saltworks Project, DMB Redwood City Saltworks LLC. The Amended <br /> Reimbursement Agreement includes certain new provisions and refinements meant to <br /> better reflect how the expenditures and reimbursements have actually been occurring <br /> over the past several months of work on the Saltworks Project. Additionally, the <br /> Amended and Restated Reimbursement Agreement establishes a cost for processing <br /> an invoice, rather than an administrative fee that is calculated as a percentage of the <br /> invoice. <br /> The most significant additions and refinements to the Reimbursement Agreement are: <br />
