6.1.D. - Page7 <br /> Fire JPA: Belmont-San Carlos Fire Department <br /> Attn: Fire Chief <br /> 600 Elm Street, 2nd Floor <br /> San Carlos, CA 94070 <br /> Except as otherwise stated, all notices to be provided or that may be provided under <br /> this Agreement must be in writing and delivered by regular and certified mail. Each <br /> party will notify the other immediately of any changes of address that would require any <br /> notice or delivery to be directed to another address. <br /> 12. Jurisdiction and Venue. Any action at law or in equity brought by any of <br /> the Parties for the purpose of enforcing a right or rights provided for or by this Agreement <br /> will be tried in a court of competent jurisdiction in the County of San Mateo, State of <br /> California, and the Parties waive all provisions of law providing for a change of venue in <br /> these proceedings to any other county. <br /> 13. Litiqation Support. City will make the designated Fire Marshal available <br /> to testify in any litigation or administrative hearing which occurs following the termination <br /> of this Agreement. Fire JPA shall compensate City for its costs and expenses for <br /> designated Fire Marshal's preparation, travel, and testimony in such matters at the <br /> employee's then current hourly rate of compensation, unless such litigation or <br /> administrative matter is brought by City or is based solely on allegations of City's <br /> negligent performance orwrongdoing. <br /> 14. Severabilit� If any term or portion of this Agreement is held to be invalid, <br /> illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining <br /> provisions of this Agreement shall continue in full force and effect. <br /> 15. General Compliance with Laws. Parties will keep fully informed of federal, <br /> state and local laws and ordinances and regulations which in any manner affect those <br /> employed by Parties, or in any way affect the performance of the Services by Parties. <br /> Parties will at all times observe and comply with these laws, ordinances, and regulations <br /> and will be responsible for the compliance of Parties Services with all applicable laws, <br /> ordinances and regulations. <br /> 16. Discrimination and Harassment Prohibited. Parties will comply with all <br /> applicable local, state and federal laws and regulations prohibiting discrimination and <br /> harassment. <br /> 17. Termination. This Agreement may be terminated without cause by any <br /> Party upon giving written notice thereof thirty (30) days or more prior to the effective date. <br /> The effective date shall be set forth in the notice of termination, provided however, if such <br /> effective date is not set forth in the notice of termination, then in that event the effective <br /> date of termination shall be thirty (30) days after deliver or posing of said notice. <br /> ATTY/AGR/2011. 043 Belmont SC Fire Marshal <br /> 051311 5 <br />
