stoppages, or other labor disturbances conducted by, or on behalf of, Consultant's <br /> officers or employees. <br /> Consultant acknowledges the importance to City of City's project schedule and agrees <br /> to use its best professional efforts to meet the schedule. City understands that <br /> Consultant's performance must be governed by sound practices. <br /> 5. Time is of the Essence. Time is of the essence for each and every provision of <br /> this Agreement. <br /> 6. Compensation. Human Resources Director <br /> The total fee payable for the Partial Services to be performed Steps I -IV of the <br /> Recruitment Plan /Services section of Avery's proposal during the initial term of this <br /> Agreement will be $13,500.The first invoice of $3,750.00 ($6,500 Tess a credit of $2,750 <br /> from the cancelled City Manager search) shall be provided at the outset of the search. A <br /> second invoice of $7,000. shall be billed upon presentation of the recommended <br /> candidates. No other compensation for the Services will be allowed except for items <br /> covered by subsequent amendments to this Agreement. City has the authority to <br /> withhold a 10% percent retention until City has accepted all of the services specified in <br /> Exhibit "A." <br /> Additional charges for expenses are specified in Exhibit A, and no case shall exceed <br /> $4,250. Payment will occur only after receipt by City of invoices sufficiently detailed to <br /> include hourly rates, hours worked, and tasks performed, unless otherwise agreed to by <br /> City. Incremental payments, if applicable, will be made as outlined in attached Exhibit <br /> The City shall receive a credit of $2750, from the City Manager funds received to be <br /> applied against the initial fees for the search. <br /> Compensation. Community Development Director <br /> The total fee payable for the Services to be performed during the initial term of this <br /> agreement will be $15,900.The first invoice of $2,250. ($5,000 less a credit of $2,750 <br /> from the cancelled City Manager search) shall be provided at the outset of the search. A <br /> second invoice of $5,000 shall be billed upon presentation of the recommended <br /> candidates. A final invoice of $5,900 will be submitted at the completion of the search. <br /> No other compensation for the Services will be allowed except for items covered by <br /> subsequent amendments to this Agreement.
