4.84 <br />REPORT <br />To the Redevelopment Agency Board <br />From the Executive Director <br />August 11, 2003 <br />Subject <br />Assignment and Assumption Agreement for Cutler & Associates, Inc. /Overland, Pacific & <br />Cutler, Inc. <br />Recommendation <br />Approve the attached Assignment and Assumption Agreement. <br />Background <br />The Redevelopment Agency currently has a Professional Services Agreement with Cutler <br />& Associates, Inc., related to land acquisition and other related services for the Downtown <br />Retail- Cinema Project. <br />Cutler & Associates consolidated its business operations with those of Stadler, Shober & <br />Cline, Inc., dba Pacific Relocation Consultants and Overland Resources, Inc. (now known <br />as Overland, Pacific & Cutler, Inc.), effective June 30, 2003. Because the previous <br />agreement is with Mr. Cutler's previous firm, it will be necessary to amend the agreements <br />and assign all rights and obligations to the new firm. For this reason, the Agency Board <br />should approve the attached Assignment and Assumption Agreement. <br />Alternative <br />Not approve the Assignment and Assumption Agreement and thereby terminate the <br />contract. <br />Fiscal Impact <br />There will be no fiscal impact to the City as the term and costs of the project do not change <br />by this action. <br />Susan Moeller <br />Redevelopment Manager <br />Bruce W.
