__ ORIGINAL . <br /> <br /> ASSIGNMENT <br /> BETWEEN <br /> AMPEX CORPORATION AND MARTIN CAMPUS ASSOCIATES L.P. <br /> <br /> THIS ASSIGNMENT ("Assignment") is entered into as of '~'~":'~ i loCi' ~, <br />1996, by and between AMPEX CORPORATION, a Delaware corporation <br />("Assignor"), and MARTIN/CAMPUS ASSOCIATES L.P., a California limited <br />partnership ("Assignee"). <br /> <br /> Assignor is the grantor under a certain Deed dated ~ 2,~' , <br />1996, granting to Assignee certain real property commonly known as Parcel Map <br />No. 95-1, located in San Mateo County, California, known as 401-495 Broadway, <br />Redwood City, and more particularly described on the attached Exhibit "A" (the <br />"Property"). <br /> <br /> Assignor wishes to assign all of its rights and obligations, contracts, <br />arrangements, commitments, guarantees, permits, approvals, payment, <br />performance, and insurance and bonds, obligations relating to the Property, vis a <br />vis the City of Redwood City (the "Assigned Interest"). <br /> <br /> NOW, THEREFORE, in consideration of the Assignment and Assignee's <br /> assumption of the obligations associated with the Assigned Interest arising from <br /> and after the date hereof and for other valuable consideration, receipt of which is <br /> hereby acknowledged, the parties agree as follows: <br /> <br /> 1. Assignor hereby assign to Assignee the Assigned Interest. <br /> <br /> 2. Assignee hereby accepts the Assigned Interest and assumes the <br /> obligations of Assignor pursuant to the Agreement For Improvements for Parcel <br /> Map No. 95-1 (form dated 11114195) arising from and after the effective date <br /> <br /> <br />
