This Amendment No. 1 is entered into and effective as of the I ~ay of January, 2004, amending the Agreement dated, t-¡. 30 ~ &. 003 (the "Agreement") by and between the CITY OF REDWOOD CITY, a charter city and municipal corporation ("City"), and MARK THOMAS & COMPANY, INC. ("Consultant") (collectively, the "Parties") for Professional Construction Management and Administration services related to the Ralston Avenue/Marine Parkway/Route 101 Interchange Reconfiguration Project (the "Project"). RECITALS A. Consultant completed the pre-bid services and is ready to begin pre-construction services; and B. Section 3 of the Agreement authorizes Consultant to perform additional services for City; C. The Parties desire to alter the Agreement's scope of work to have Consultant modify construction documents; and D. The Parties have negotiated and agreed to supplemental scopes of work and fees schedule, which is attached to and incorporated by this reference as Exhibit "A" through "C" Scope of Services and Fees. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Consultant agree as follows: 1. In addition to those services described in the Agreement, Consultant will provide those services described in Exhibits "A" through "C." 2. City will pay Consultant for all work associated with those services described in Exhibits "A" through "C" a not-to-exceed amount of Three Hundred Seventy-seven Thousand Four Hundred Thirty and No/100 Dollars ($377,430). Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 5.
