authorized representative of DTC) is the responsibility of the Agency or the Trustee, <br />disbursement of such payments to Direct Participants will be the responsibility of DTC, and <br />disbursement of such payments to the Beneficial Owners will be the responsibility of Direct and <br />Indirect Participants. <br />DTC play discontinue providing its services as depository with respect to the Bonds at <br />any time by giving reasonable notice to the County or the Trustee. Under such circumstances, in <br />the event that a successor depository is not obtained, Security certificates are required to be <br />printed and delivered. <br />The Agency may decide to discontinue use of the system of book -entry transfers through <br />DTC (or a successor securities depository). In that event, Bond certificates will be printed and <br />delivered. <br />In the event that the book-entry system is discontinued as described above, the <br />requirements of the Indenture will apply. The foregoing information concerning DTC concerning <br />and DTC's book -entry system has been provided by DTC, and neither the Agency or the <br />Trustee take any responsibility for the accuracy thereof. <br />Neither the Agency or the Underwriters can and do not give any assurances that DTC, <br />the Participants or others will distribute payments of principal, interest or premium, if any, <br />evidenced by the Bonds paid to DTC or its nominee as the registered owner, or will distribute <br />any redemption notices or other notices, to the Beneficial Owners, or that they will do so on a <br />timely basis or will serve and act in the manner described in this Official Statement Neither the <br />Agency or the Underwriter is responsible or liable for the failure of DTC or any Participant to <br />make any payment or give any notice to a Beneficial Owner with respect to the Bonds or an <br />error or delay relating thereto. <br />The information in this section conceming DTC and DTC's book -entry system has been <br />obtained from sources that the Agency believes to be reliable, but the Agency takes no <br />responsibility for the accuracy thereof. <br />G-3 <br />
