I. Shea shall have conducted its Site Feasibility Assessment and approved the condition of the Acquisition Parcel, including, without limitation any conditions which may be present thereon, as provided in Section 303, and notified Agency of its Election to Proceed. J. Shea shall have approved the Acquisition Budget for all costs for which Shea is responsible under this Agreement and made its Election to Fund. §403 Shea's Duties Shea shall pay in Escrow or deliver to the Escrow Agent the following fees, charges, costs and documents related to the Acquisition Parcels promptly after the Escrow Agent has notified Shea of the amount of such fees, charges and costs, but not earlier than ten (10) days prior to the scheduled date for the close of Escrow as set forth in the Schedule of Performance: A. The escrow fee; B. The premium for the title insurance policy as set forth in Section 314 of this Agreement; C. Recording fees; D. Notary fees; E. Ad valorem taxes and assessments and possessory interest taxes, if any, upon the Acquisition Parcels, to the extent Shea is responsible for the payment thereof in accordance with the provisions of Section 510; and F. Any transfer tax. §404 Agency's Duties Agency shall in accordance with this Agreement timely and properly execute, acknowledge and deliver a Grant Deed or Grant Deeds in substantially the form established in Section 312 of this Agreement conveying to Shea title to the Acquisition Parcels in the condition required by Section 313 of this Agreement, together with an estoppel certificate certifying that Shea has completed all acts necessary to entitle Shea to such conveyance (except deposit of the applicable Purchase Price), if such be the fact, and Agency's instructions to the Escrow Agent that the Grant Deeds may be recorded. §405 Terms of Escrow With respect to each Acquisition Parcel, the Escrow Agent is authorized to: A. Pay and charge Shea for, any fees, charges and costs payable under this Section 405. Before such payments or charges are made, the Escrow Agent shall notify Shea of the fees, charges and costs necessary to clear title and close the Escrow. B. Disburse funds and deliver the applicable Grant Deed or Grant Deeds and other documents to the panics entitled thereto when the conditions of this Escrow have been fulfilled by Agency and Shea. C. Record any instruments delivered through this escrow, if necessary or proper, to vest title in Shea in accordance with the terms and provisions of this Agreement. 21 wc-21875
