commencement of the cause if notice by the party claiming such extension is sent to the other party within thirty (30) days of the commencement of the cause. Ifnotice by the party claiming an extension is sent to the other party more than thirty (30) days a~er the commencement of the cause, the extension period shall commence to run only thirty (30) days prior to the giving of such notice. Times of performance under this Agreement may also be extended in writing by the mutual agreement of Agency and Shea. §1005 Inspection of Books and Records Agency has the right at all reasonable times to inspect the books and records of Shea pertaining to the Franklin Street Project Site as pertinent to the purposes of this Agreement. Shea also have the right at all reasonable times to inspect all public records of Agency pertaining to the Franklin Street Project Site as pertinent to the purposes of this Agreement. §1006 Requests for Amendmentsjto this Agreement Shea and Agency agree to mutually consider reasonable requests for amendments to this Agreement which may be made by Shea, lending institutions, or Agency, provided said requests are consistent with this Agreement and would not substantially alter the basic business terms included herein. Agency shall not unreasonably withhold approval of such amendments to this Agreement. §1007 Counterparts; Advice of Counsel; Waivers and Amendments This Agreement is executed in two (2) counterparts, each of which is deemed to be an original. Each party acknowledges that it sought and received legal advice fi.om its own independent counsel regarding all aspects of this Agreement, and that it entered into this Agreement insofar as any legal matter is concerned, solely in reliance on the legal advice of its respective independent counsel, or chose not to follow such advice, as the case may be. All waivers of the provisions of this Agreement must be in writing and signed by the appropriate authorities of Agency or Shea, as applicable, and all amendments hereto must be in writing and signed by the appropriate authorities of Agency and Shea. In any circumstance where under this Agreement either party is required to approve any matter, approval shall not be unreasonably withheld. Where no time frame for approval is expressly stated in this Agreement, any request for an approval shall be deemed denied if no response has been delivered within thirty (30) days from when approval was requested. §1008 Time for Acceptance of Agreement by Agency This Agreement, when executed by Shea and delivered to Agency, must be approved, executed and delivered by Agency on or before thirty (30) days after signing and delivery of this Agreement by Shea or this Agreement shall be void, except to the extent that Shea shall consent in writing to a further extension of time for the approval, execution and delivery of this Agreement.
