MEMORANDUM FROM THE CITY ATTORNEY CONCERNING A CLOSED SESSION BEFORE THE CITY COUNCIL OF THE CITY OF REDWOOD CITY TO: Honorable Mayor and Members of the City Council FROM: Pamela Thompson, City Attorney SUBJECT: Closed Session — Deciding whether to initiate litigation. [Government Code §54956.9 (c)] A closed session will be held on June 27, 2011, for the purpose of conferring with and /or receiving advice from your legal counsel concerning whether to initiate litigation, [Gov't. Code §54956.9 (c)] and for the purpose of giving instructions to your negotiator regarding the price and terms of payment for the purchase, sale, exchange or lease of real property. [Gov't. Code §54956.8] If the City Council authorizes the City Attorney to defend, or seek or refrain from seeking appellate review or relief, this determination shall be disclosed immediately following this closed session. If the City Council authorizes initiation or intervention, such authorization shall be disclosed immediately following this closed session and the public advised that the action, defendants and other particulars may be disclosed upon request after the action is formally commenced. (Gov't. Code §54957.1(a)(2)]. If the City Council renders the agreement final, they shall report that approval and the substance of the agreement in open session at the public meeting during which the closed session is held. (Gov't Code § 54957.1 (1) (A)] If the City Council accepts a settlement offer signed by the opposing party, the substance of the settlement shall be disclosed immediately following this closed session. (Gov't. Code §54957.1(a)(3)(A)]. If final approval rests with the other party to the negotiations, the City shall disclose the fact of that approval and the substance of the agreement upon inquiry by any person, as soon as the other party or its agent has informed the City of its approval. (Gov't Code § 54957.1 (1) (B)] Any disclosures shall include the vote or abstention of each member.
