.. 5.1E Page 3 ORIGINAL AGREEMENT FOR BAY SPAN SERVICES THIS AGREEMENT is made and entered into as of the d- ~ day of ~ ' 2005, by and between the CITY OF REDWOOD CITY, a charter city and munidpal corporation of the State of California ("City"), and Bay Span, Inc., a Corporation ("Bay Span") (collectively, the .Parties"). . RECITALS A. City requires the services of a Bay Span for temporary labor. B. Bay Span has the necessary experience in providing temporary labor and administrative management for temporary wor1<ers, C. Selection of Bay Span is expected to achieve the desired results of filling City's need of temporary labor. D, Bay Span has submitted a proposal to City and has affirmed its willingness and ability to provide temporary labor. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: . 1. Scope of Work. City retains Bay Span to provide those resources (the "temporary labor") that are defined in attached Exhibit "A," which is incorporated by this reference in accordance with this Agreement's terms and conditions. 2. Standard of Performance. While providing the temporary labor, Bay Span will exercise the reasonable professional care and skill customarily exercised by reputable members of Bay Span's profession providing temporary labor in the Metropolitan Northern California Area, and will use reasonable diligence and best judgment while selecting its employees for temporary labor. 3. - Term. Unless earlier terminated, the term of this Agreement will be effective for .. the period from the date first written above through June 30, 2005. The City Manager may amend the Agreement to extend it for one (1) year in an amount not to exceed Sixty thousand dollars ($60,000) per Agreement year. The extension will be based upon a satisfactory review of Bay Span's performance, City needs, and appropriation of funds by the City Council. The parties will prepare a written amendment indicating the effective date and length of the extended Agreement. 4. Schedule. Bay Span will provide temporary labor based on the rate schedule set forth in Exhibit "A" hereof, attached hereto and by this reference incorporated herein.
