<br /> 5.1E <br /> Page 21 <br /> subcontractors. The insurance will be obtained from an insurance carrier admitted and <br /> authorized to do business in the State of California. The insurance carrier is required to <br /> have a current Best's Key Rating of not less than "A-:V." <br /> 12.1 Coverages and Limits. Bay Span will maintain the types of coverages and <br /> minimum limits indicated below, unless Risk Manager or City Manager, in <br /> consultation with the City Attomey approves a lower amount. These minimum <br /> amounts of coverage will not constitute any limitations or cap on Bay Span's <br /> indemnification obligations under this Agreement. City, its officers, agents, <br /> volunteers and employees make no representation that the limits of the <br /> insurance specified to be carried by Bay Span pursuant to this Agreement are <br /> adequate to protect Bay Span. If Bay Span believes that any required insurance <br /> coverage is inadequate, Bay Span will obtain such additional insurance <br /> coverage, as Bay Span deems adequate, at Bay Span1s sole expense. <br /> 12.1.1 Staff Liabilitv Insurance. $2,000,000 combined single-limit per <br /> occurrence for bodily injury, personal injury and property damage. If the <br /> submitted policies contain aggregate limits, general aggregate limits will <br /> apply separately to the work under this Agreement or the general <br /> aggregate will be twice the required per occurrence limit. <br /> 12.1.2 Automobile Liabilitv. Employees hired by Bay Span, Inc. will <br /> provide private automobile insurance. $2,000,000 combined single-limit <br /> per accident for bodily injury and property damage. <br /> 12.1.3 Workers' Compensation and Emplover's Liabilitv. Workers' <br /> Compensation limits as required by the California Labor Code and <br /> Employer's Liability limits of $2,000,000 per accident for bodily injury. <br /> Such coverage must include a waiver of subrogation. <br /> 12.2. Additional Provisions. Bay Span will ensure that the policies of insurance <br /> required under this Agreement contain, or are endorsed to contain, the following <br /> provisions: <br /> 12.2.1 For Commercial General Liability Insurance and Automobile <br /> Liability Insurance, City, its officers, agents, volunteers and employees will <br /> be named as additional insureds. <br /> 12.2.2 Bay Span will obtain occurrence coverage, excluding Professional <br /> Liability, which will be written as claims-made coverage. <br /> 12.2.3 This insurance will be in force during the life of the Agreement and <br /> any extensions of it and will not be canceled without thirty (30) days prior <br /> written notice to City sent pursuant to the Notice provisions of this <br /> Agreement. <br /> Atty/Agr/2005lAmend.Bay Span No.2 <br /> 072205 2 <br /> ._--- <br />
