<br /> 5.1E <br /> Page 26 <br /> AMENDMENT NO.3 TO AGREEMENT FOR BAY SPAN SERVICES <br /> [Bay Span, Inc.] <br /> This Amendment No.3 is entered into and effective as of the _ day of July. <br /> 2006, amending the Agreement for Bay Span Services, by and between the City of <br /> Redwood City, a charter city and municipal corporation of the State of California C'Cityn) <br /> and Bay Span, Inc. a Corporation ("Consultant" or "Bay Span") (collectively, the <br /> "Parties") <br /> RECITALS <br /> A. On or about April 30, 2005, the Parties entered into the Agreement with <br /> Bay Span, Inc., to provide temporary labor and administrative management for <br /> temporary workers. <br /> B. On or about May 23, 2005, the Parties executed Amendment No. 1 to the <br /> Agreement to extend the term to December 31, 2005 and to increase funding for the <br /> Agreement in an amount not-to-exceed $190,000. <br /> C. On or about August 30, 2005, the Parties executed Amendment No. 2 to <br /> the Agreement to extend the term to June 30, 2006, and to modify the indemnification <br /> and insurance provisions. <br /> D. The Parties desire to extend and fund the Agreement for a period of one <br /> year commencing on July 1, 2006 and ending on June 30, 2007. <br /> E. The Parties have negotiated and agreed to a supplemental scope of work <br /> and modified fee schedule, which is attached to and incorporated herein by this <br /> reference as Exhibit "A", Scope of Services and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in <br /> Exhibit" A." With this Amendment. the total annual Agreement amount shall not exceed <br /> One Hundred Ninety Thousand dollars ($190,000.00). <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed One Hundred <br /> Ninety Thousand dollars ($190,000.00). Consultant will provide City on a monthly <br /> basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, <br /> and related activities and costs for approval by City. <br /> 3.
