[FREEDMAN TUNG & BOTTOMLE <br /> � <br /> . <br /> THIS AGREEMENT is made and entered into as of the <br /> da of <br /> Y <br /> , 2004, by and between the �ITY OF REDWOOD CITY, a chartei <br /> city and municipal corporation of the State of �alifumia ("City"), the REDWOOD CITY <br /> REDEVELOPMENT AGENCY, a public body, corporate and politic, duly organized and <br /> existing under the laws of the State of Califomia ('Agency') (collectively "City/Agency'), <br /> and FREEDMAN, TUNG & BOTTOMLEY, a Califomia sole ro rietorshi , <br /> x n u n <br /> P P P <br /> ( Consultant ) (collectively, the Parties ). <br /> I <br /> RECITALS <br /> A. City/Agency require the professional services of an urban designer that is <br /> experienced in development of streetscape improvements. <br /> B. Consultant has the necessary e�erience in providing professional <br /> services and advice related to streetscape improvements. <br /> C. Selection of Consultant is expected to achieve the desired resuits in an <br /> expedited fashion. <br /> I <br /> D. Consultant has submitted a ro osal to Ci A <br /> p p ty/ gency and has affirmed its <br /> � willingness and ability to perform such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Sco�e of Work. City/Agency retains Consuttant to perform, and Consultant <br /> agrees to render, those services (the "Services") that are defined in attached Exhibit <br /> "A," which is incorporated by this reference in accordance with this AgreemenYs terms <br /> and conditions. <br /> 2. Standard of Performance. While performing the Senrices, Consultant will <br /> exercise the reasonable professional care and skill customarily exercised by reputable <br /> members of ConsultanYs profession practicing in the Metropolitan Northern California <br /> Area, and will use reasonable diligence and best jud ment while exercisin its <br /> 9 <br /> . 9 <br /> , professional skill and e ertise. <br /> XP <br /> 3. Term. Unless earlier terminated, the term of this Agreement will commence upon <br /> the date first above written and shall expire upon the final inspection of the constructed <br /> improvements. <br /> 4.
