<br /> Co. \ £.2 <br /> AMENDMENT NO.2 <br /> TO AGREEMENT FOR PROFESSIONAL SERVICES <br /> (Mark Thomas & Company, Inc.) <br /> This Amendment No.2 is entered into and effective as of the - day of April, 2004, <br /> amending the Agreement dated, July 30, 2003 (the "Agreemenr) by and between the CITY OF <br /> REDWOOD CITY, a charter city and municipal corporation ("City"), and MARK THOMAS & <br /> COMPANY, INC. ("Consultant") (collectively, the "Parties") for Professional Construction <br /> Management and Administration services related to the Ralston Avenue/Marine Parkway/Route <br /> 101 Interchange Reconfiguration Project (the "projecr). <br /> RECITALS <br /> A. Amendment No.1 to the Agreement was approved by the City Council on February 7, <br /> 2004 (by Minute Order 04-23), in an amount of $344,430. <br /> B. Section 3 of the Agreement authorizes Consultant to perform additional services for <br /> City; <br /> C. The Parties desire to alter the Agreement's scope of work to have Consultant modify <br /> construction documents; and <br /> D. The Parties have negotiated and agreed to supplemental scopes of work and fees <br /> schedule, which is attached to and incorporated by this reference as Exhibit "A" - Scope of <br /> Services and Fees. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, City and Consultant agree as follows: <br /> 1. In addition to those services described in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in Exhibits <br /> "A". <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibits "A" a not-to-exceed amount of Forty Eight Thousand and No/100 Dollars <br /> ($48,000). Consultant will provide City, on a monthly basis, copies of invoices sufficiently <br /> detailed to include hours performed, hourly rates, and related activities and costs for approval by <br /> City. <br /> 3. All other provisions of the Agreement will remain in full force and effect. <br /> 4. All requisite insurance policies to be maintained by Consultant pursuant <br /> to the Agreement will include coverage for this Amendment. <br /> 5. This Amendment No.2 supersedes and replaces in their entirety any other <br /> amendments relating to this subject matter that may have been drafted as of the date first above <br /> written, but not executed, by the Parties <br /> Atty/Agr/Amendment 2 Mark Thomas <br /> 033004 1 <br />
