9.5 Licensor reserves the right at any time to make alterations or additions to the <br /> Premises. This License confers no rights either with regard to the subsurface of <br /> the land below the ground level of the Premises or with regard to airspace above <br /> the roof of the premises. <br /> 10. LICENSOR'S RIGHT OF ENTRY <br /> 10.1 Licensor's Right of Entry. Licensor, its agents, contractors, employees and <br /> assigns may enter the Premises with a minimum of twenty -four (24) hours <br /> advance notice of such entry when practicable to: (a) examine the Premises; (b) <br /> perform any obligation of, or exercise any right or remedy of, Licensor under this <br /> Agreement; (c) make repairs, alterations, improvements or additions to the <br /> Premises, or to the Building as Licensor deems necessary; (d) perform work that <br /> Licensor deems necessary to prevent waste or deterioration in connection with <br /> the Premises should Licensee fail to commence to make, and diligently pursue to <br /> completion, its required repairs within three (3) days after written demand <br /> therefore by Licensor. <br /> 11. TAXES <br /> 11.1 Licensee shall pay before delinquency all possessory interest taxes, <br /> assessments, license fees, and other charges that are levied, assessed, or <br /> become a lien against the license interest. On demand by Licensor, Licensee <br /> shall furnish Licensor with satisfactory evidence of these payments. <br /> 11.2 Licensee shall pay before delinquency all federal, state or local taxes, <br /> assessments, license fees, and other charges that are levied and assessed <br /> against Licensee's personal property installed or located in or on the building, <br /> and that become payable during the term. On demand by Licensor, Licensee <br /> shall furnish Licensor with satisfactory evidence of these payments. <br /> 12. SECURITY MEASURES <br /> 12.1 Licensee hereby acknowledges that the license fee payable to City hereunder <br /> does not include the cost of guard service or other security measures, and that <br /> City shall have no obligation whatsoever to provide same. Licensee assumes all <br /> responsibility for the protection of Licensee, its agents and invitees from acts of <br /> third parties, and shall indemnify, defend, and hold harmless City for claims <br /> related to failure to provide security. Any provision of security services provided <br /> by City shall not constitute acceptance of liability for acts on the Premises. <br /> 13. KEYS AND LOCKS <br /> 13.1 Licensee shall be issued the necessary keys that enable access to the Premises. <br /> Licensee will be required to complete all necessary paperwork related to the <br /> issuance of the keys. <br /> 14. ASSIGNMENT <br /> 14.1 Licensor's Consent Required. Licensee may not assign its rights under the <br /> License, nor any interest therein, and shall not encumber the Premises or any <br /> part thereof, nor any right or privilege appurtenant thereto, nor allow or permit <br /> any other person(s) to occupy or use the Premises, or any portion thereof, <br /> without Licensor's prior written approval, which shall be in the sole discretion of <br /> Licensor.
