6.3.B. - Page 38 <br />Y y-N <br />EXHIBIT C <br />MEMORANDUM OF LEASR A( <br />Page 1 of 2 <br />Attachment 3 <br />This Memorandum of Lease Agreement is entered into on this 29th day of July, 1996, by and between <br />CITY OF REDWOOD CITY, a municipal corporation of the State of California with an office at 1017 <br />Middlefield Road, Redwood City, CA 94064,(hereinafter referred to as "Lessor ") and BAY AREA <br />CELLULAR TELEPHONE COMPANY, a California general part nexship, doing business as Cellular One <br />( "CellularOnew) having its principal place of business at 651 Gateway Blvd., South San Francisco, CA <br />94080, Attn. Director, Systems Development (hereinafter referred to as "Lessee "). <br />i . Lessor and Lessee entered into an unrecorded Lease Agreement- Communications Facility <br />( "Lease ") on the 29th day of July, 1996, incorporated herein by reference, pursuant to the terms of which <br />Lessee may install, operate and maintain a facility for furnishing cellular telephone, radio and <br />telecommunications services. <br />2. The term of the Lease is for five (5) years commencing on July 29, 1996 and ending on <br />July 28, 2001, with two (2) successive five (5) year options to renew. <br />3. The Emerald Lake Hills Water Tank Property which is the subject of the Lease is described <br />in Exhibit A annexed hereto. The portion of the Emerald Lake Hills Water Tank Property being leased to <br />Lessee (the "Leased Premises") is described in Exhibit B annexed hereto.
