<br />Intergovernmental Agreement Between the City And County Of San Francisco, the San
<br />Mateo County Transit District, the City Of Redwood City, the County Of San Mateo, the
<br />Santa Clara Valley Transportation Authority, and the Bay Area Air Quality Management
<br />District Regarding a Regional Bicycle Share Pilot Program
<br />This agreement is entered into between the City and County of San Francisco, acting through the San
<br />Francisco Municipal Transportation Agency ( "SFMTA'), the San Mateo County Transit District
<br />( "SAMTRANS "), the City of Redwood City ( "Redwood City "), the County of San Mateo, the Santa
<br />Clara Valley Transportation Authority ( "VTA'), and the Bay Area Air Quality Management District
<br />( "Air District "), collectively the "parties ".
<br />RECITALS
<br />WHEREAS, the Bay Area is currently not attaining State and Federal ambient air quality standards for
<br />ground -level ozone and particulate matter, and in the Bay Area, the transportation sector accounts for
<br />more than 50% of "criteria" pollutants, including reactive organic gases (ROG) and oxides of nitrogen
<br />(NO both of which are ozone precursors, and particulate matter (PM), and for more than 40% of
<br />greenhouse gas (GHG) emissions.
<br />WHEREAS, on April 20, 2010, the Metropolitan Transportation Commission ( "MTC ") issued a
<br />solicitation through its Climate Initiatives Program seeking grant proposals focusing on innovative
<br />strategies for reducing greenhouse gas emissions;
<br />WHEREAS, the MTC grants program is funded with federal Congestion Mitigation and Air Quality
<br />Improvement Program ( "CMAQ') funds that are administered in California by the California Department
<br />of Transportation ( "Caltrans ") and are assigned by Caltrans to MTC;
<br />WHEREAS, on June 1, 2010, the Air District submitted a letter of interest to MTC proposing a regional
<br />bicycle share pilot to support climate protection and transportation anode shift;
<br />WHEREAS, on June 21, 2010, the MTC notified the Air District that SFMTA, SAMTRANS, Redwood
<br />City, the County of San Mateo, and VTA had each proposed similar local scale bicycle share projects, and
<br />requested that the parties collaborate on a single bicycle share pilot proposal;
<br />WHEREAS, on June 30, 2010, the WC notified the parties that they were selected to submit a final
<br />single, regional bicycle share pilot proposal;
<br />WHEREAS, on August 13, 2010, the Air District on behalf of the parties submitted a final proposal to
<br />pilot bike - sharing along the peninsula transportation corridor at locations in San Jose, Palo Alto,
<br />Mountain View, Redwood City and San Francisco;
<br />WHEREAS, on September 15, 2010, the Board of Directors of the Air District adopted the `Bay Area
<br />2010 Clean Air Plan conunitting to Transportation Control Measure (TCM) D -1 Bicycle Access and
<br />Facilities Improvement";
<br />WHEREAS, on October 6, 2010, the Board of Directors of the Air District approved a commitment to the
<br />Regional Bicycle Share Pilot of $1.4 million in snatching funds from its Transportation Fund for Clean
<br />Air (" ITCA ");
