P- 2140 <br /> RESOLUTION APPROVING AND AUTHORIZING EXECUTION OF <br /> ASSIGNMENT OF LEASE AGREEMENT <br /> (Basic Chemical Solutions, LLC to Univar USA, Inc.) <br /> WHEREAS, the Port of Redwood City ("Port") and Basic Chemical <br /> Solutions, LLC ("BCS") entered into a lease agreement dated July 9, 2007, and <br /> approved by the Board of Port Commissioners by Ordinance No. P-232, (as may <br /> have been amended from time to time, the "Lease AgreemenY'); and <br /> WHEREAS, BCS has requested that the Lease Agreement be assigned <br /> to Univar USA, Inc.; and <br /> WHEREAS, the Lease Agreement provides in part that the Lease <br /> Agreement may not be assigned; and <br /> WHEREAS, it has been presented to, and reviewed by, this Board a <br /> documents entitled, "Assignment of Lease Agreement — Basic Chemical <br /> Solutions, LLC — Univar USA, Inc." <br /> NOW, THEREFORE; <br /> BE IT RESOLVED BY THE BOARD OF PORT COMMISSIONERS OF <br /> THE CITY OF REDWOOD CITY, AS FOLLOWS: <br /> 1. Notwithstanding any language to the contrary in the Lease <br /> Agreement, this Board hereby consents to the assignment of the Lease <br /> Agreement by BCS to Univar USA, Inc. <br /> 2.
