EXHIBIT B <br />AGREEMENT <br />PROFESSIONAL CONSULTING SERVICES <br />(FREEDMAN TUNG & BOTTOMLEY) <br />THIS AGREEMENT is made and entered into this _ day of <br />// X -// <br />2003, by and between the REDWOOD CITY REDEVELOPMENT AGENCY, a <br />redevelopment agency of the State of California ( "Agency "), and FREEDMAN TUNG & <br />BOTTOMLEY, a California sole - proprietorship ( "Consultant ") (collectively, the "Parties "). <br />WITNESSETH: <br />WHEREAS, Agency is proposing to create a Precise Plan for downtown <br />Redwood City (the "Project "); and <br />WHEREAS, Agency requires professional consulting services to provide urban <br />design services for the Project; and <br />WHEREAS, Consultant represents that it possesses the experience and is <br />qualified to perform the aforesaid services for the Project. <br />NOW, THEREFORE, the parties hereto agree as follows: <br />1. CONSULTANT'S SERVICES. Consultant shall perform all or a portion of <br />the professional consulting services described in Exhibit "A" hereof, attached hereto <br />and by this reference incorporated herein. <br />2. COMPENSATION: EXPENSES: PAYMENT.
