Covenant Aga nst Con pent Fees <br />DevelopeIS y warra hat it has employed or retained any company or <br />person, other thana f mp solicit or secure this Agreement, and has <br />not paid or agreed:to pay company or person, other than a bona fide employee, any <br />fee, commission, p r {age, erage fee, gift, or any other consideration contingent <br />upon or_resulting from th`" ward ormation of this Agreement. For breach or violation <br />of this warranty, City and ency shall have the right to annul this Agreement without <br />liability, or at disc n of the City and Agency discretion, to deduct from the <br />Agreement price Psideration, or otherwise recover, the full amount of such fee, <br />commission, percentage, brokerage fee, gift or contingent fee. <br />15. Notices <br />Any notice, payment or instrument required or permitted by this Agreement to be <br />given or delivered to any party shall be deemed to have been received (regardless of <br />whether copies thereof have been delivered, transmitted or sent to, or received by the <br />entities designated to receive copies, as set forth below) when personally delivered, <br />
