appropriat~for the accomplishment of such services. Except to <br />the extent modified by a task order, all other terms and <br />conditions of this Agreement shall be deemed incorporated in each <br />such task order. <br /> <br /> Compensation and payment for approved Additional Services <br />shall be in an amount based upon Architect's hourly rates that <br />are currently prevailing during the time of the performance of <br />said services as set forth in Exhibit B. <br /> <br /> 4. ASSIGNABILITY. Neither Architect nor City shall <br />contract, assign, sell, mortgage, hypothecate or otherwise <br />transfer their respective interests or obligations in this <br />Agreement without the express prior written consent of the non- <br />transferring party. <br /> <br /> 5. STATUS. In the performance of services hereunder, <br />Architect shall be, and is, an independent contractor, and shall <br />not be deemed ~o~be an employee or agent of City. <br /> <br /> 6. PERFORMANCE/STANDARDS. In performing services <br /> <br />hereunder, Architect shall adhere to the standards generally <br />prevailing for the performance of professional architectural <br />services similar to those to be performed by Architect hereunder. <br /> <br /> 7. DOCUMENTS. All documents, plans and drawings, <br /> specifications, negatives, photographs, computer disks, <br /> electronic tapes, or copies thereof, renderings, and other <br /> papers, or copies thereof, as finally rendered and prepared by <br /> Architect pursuant to the terms of this Agreement, shall, upon <br /> preparation and delivery to the City become the property of City. <br /> <br /> 8. SCHEDULE. Architect and City agree, as to each Phase, <br /> and to adhere to the Schedule set forth in Exhibit "C" hereof, <br /> 3 <br /> <br /> <br />
