FXS:djk 08/22/96R {033/70) aggregate ConCurrently with the execution of this Agreement, Architect shall furnish City with certificate and copies of information or declaration pages of the insurance required hereunder and, with respect to evidence of commercial general liability and automobile liability insurance coverage, original endorsement: (a) Precluding cancellation before the expiration of thirty (30) days after City shall have received written notification of cancellation by first class mail; (b) Providing that Architect's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability (cross liability endorsement); (c) Naming the City of Redwood City, its Council, officers, boards, commissions, employees and agents, as additional insureds; and (d) Providing that Architect's insurance coverage shall be primary insurance with respect to City, its Council, officers, boards, commissions, employees and agents, and any insurance or self-insurance maintained by City for itself, its Council, officers, boards, commissions, employees or agents shall be excess of A~hitect's insurance and not contributory with it. 13. COVENANT AGAINST CONTINGENT FEES. Architect hereby declares that Architect has not employed or retained any company or person, other than a bona fide employee working for Architect, to solicit or secure this Agreement, and Architect has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift or any other consideration, contingent upon or resulting from the award or formation of this Agreement. For breach or violation of this declaration, City shall have the right to annul this Agreement without liability, or at City's discretion, to deduct 7
