<br /> Establishing the San MarcO Pre-Hospital Emergency Services Providers Group
<br /> [Section XIH. Lial~iiltYl
<br />
<br />1. E~w.h Party agrees to defend, indemnify, and hold harmless the Group, its officers,
<br /> officials, agents, employees and volunteers from and against any and all claims,
<br /> demands, actions, loss~, damages, injus4es, and liability, direct or indirect, arising out
<br /> of the operation of a vehicle owned or lease-financed by the Party and used to
<br /> transport persotmel, equipment and/or supplies t.o provide advanced life support first
<br /> responder services. Thc Pa~"s obligation to defend is ll'iggevcd only when the
<br /> ope. ration of such vehicle is thc only basis for asserting a claim, demand or action
<br /> agatns~ ,,Jae Group, provided that the Group or its insurer may ~eek reimbursement of
<br /> any reazonable costs incurred by one or both of them in d~fend~g a claim, dcm~md or
<br /> action in which there is a cause of action based on the operation of such vehicle.
<br />
<br />2. Each Party shall maintain insurance/self-insurance for automobile liability covering
<br /> bodily injury and property clamage arising out of or in connection with thc operation
<br /> of ail vehicles owned or fez_se-financed by it (Auto Policy) in an amount that complies
<br /> with the obligation of the Group to provide automobile liability coverage in the pre-
<br /> Hospital Emergency Services Agreement between the Group and tbe countywide
<br /> ambulance provider for San Mateo County.
<br />
<br /> 3. Each policy of insurance or self-insurance described in Section 2 shall include:
<br />
<br /> a. a contracnufl liability endorsement or additional insurext endorsement covering thc
<br /> liability resumed by tlic Party under this Joi~r Powers Agreement es~ablishlng the
<br /> San Marco pre-Hospital Emergency Service~ Providers Group;
<br /> b. an cndorscment providing that despite any provisions of thc Auto Policy ~o
<br /> contxary, the Auto Policy coverage will be prinu~ with respect to any claims,
<br /> demana,, actions, losses, damages, injuries, or liability covered by the contractual
<br /> liability or additional insured eudors~ncnt; and
<br /> ¢. an endorsement stating that thc Auto Policy will not be suspended, voided,
<br /> canceled or reduced in cavcrage or limits cy, cept at%r written notice of such
<br /> propped action given to thc Group not less than thirty (30) calendar days o£ such
<br /> proposed action.

<br /> 4. Specifically exempted fi-om this Exhibit A, ate any and all ambulanccs owned or
<br /> otherwise lease/financed or leased by American Medical Response and operated by
<br /> any Par~ to this Agreement pmsuant to dac Ambulance Staffing Agreement between
<br /> American Medical R~ponse West, dba Bay~tar/American Medical Response, the
<br /> Contxactor and the San Mareo Pre-Hospital Emergency Services Provider Group.
