Samaritan Training Center, at its sole expense, shall acquire and maintain in full force and effect throughout the term of this Agreement commercial general liability and professional liability insurance coverage relating to Samaritan Training Center's performance under this Agreement covering Contractor's risks in form subject to the approval of the Contractor's City Attorney and, to the extent that any of the trainees are not covered by Samaritan Training Center's insurance policies, such trainees shall provide Contractor with proof of insurance as put forth Any deductibles or self-insured retention must be declared to and approved by Contractor. At the option of Contractor either Samaritan Training Center's insurer will reduce or eliminate the deductibles or self-insured retention with respect to the Contractor, its Council, commissions, boards, committees, officers, employees and agents or Samaritan Training Center shall procure a bond guaranteeing payment of losses and related investigations, claim administration, and defense expenses. Concurrently with the execution of this Agreement, Samaritan Training Center shall furnish Contractor with certificates of insurance required hereunder and, with respect to evidence of commercial general liability, original endorsements: (a) Precluding cancellation or reduction in coverage before the expiration of thirty (30) days after Contractor shall have received written notification of cancellation or reduction in coverage via first class mail; (b) Providing that Samaritan Training Center's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability (cross liability endorsements); (c) Nammg Contractor, its Council, commissions, boards, committees, officers, employees and agents as additional insureds; and (d) Providing that Samaritan Training Center's insurance shall be primary insurance relating to Samaritan Training Center's work hereunder with respect to the Contractor, its Council, commissions, boards, committees, officers, employees, and agents, and fuither providing that any insurance or self-insurance maintained by the Contractor for itself, its Council, commissions, boards, committees, officers, employees and agents shall not be excess of Samaritan Training Center's insurance and shall not be contributory with it. In Witness Whereof, the parties hereto have executed this agreement in duplicate by their duly authorized representatives.
